§ 1 Scope
These General Terms and Conditions (GTC) apply to all contracts for services provided by DRAICO UG (haftungsbeschränkt), operating under the name DRAICO Building Cleaning (hereinafter “Contractor”), with its customers (hereinafter “Client”). Deviating terms of the Client only become effective if the Contractor expressly agrees to them in writing.
§ 2 Conclusion of contract and quote
Quotes from the Contractor are non-binding. A contract is concluded through written or verbal confirmation of the order or upon commencement of the work. The basis of the service is usually a fixed-price quote prepared after an inspection.
§ 3 Scope of services
The scope of services (in particular maintenance cleaning, office and practice cleaning, communal area cleaning, window and glass cleaning and deep cleaning) is set out in the written specification forming part of the quote or order confirmation. It defines the areas to be cleaned, the individual tasks and the agreed frequency. Additional services not agreed upon – such as special or deep cleaning – are charged separately and must be agreed in advance.
§ 4 Prices and payment
The fixed prices stated in the quote apply. Unless otherwise agreed, invoices are due for payment without deduction within 14 days of the invoice date. All prices include the applicable statutory VAT unless otherwise stated.
§ 5 Appointments and Client cooperation
Agreed cleaning times and frequencies are kept whenever possible. The Client ensures unobstructed access to the areas to be cleaned and provides any keys, transponders or alarm codes required. Handover and storage are documented in writing. The Client also provides power and water connections and, where agreed, a lockable room for equipment and materials. Delays for which the Client is responsible may lead to additional costs or a rescheduled cleaning visit.
§ 6 Materials, staff and contract term
Cleaning products, machines and consumables are provided by the Contractor unless the quote states otherwise. Hygiene supplies (soap, paper) are restocked only where expressly agreed; in that case the Client bears the cost of the materials.
The Contractor deploys its own formally employed and briefed staff and arranges cover during holidays and sickness. Staff are bound to confidentiality regarding everything they learn on site.
Ongoing cleaning contracts run for an indefinite period and may be terminated by either party in writing with four weeks' notice to the end of a month, unless the contract provides otherwise. The right to terminate for good cause remains unaffected.
§ 7 Warranty and liability
The Contractor is liable under statutory provisions for damages resulting from injury to life, body or health as well as for intent and gross negligence. Otherwise, liability is limited to the foreseeable damage typical for the contract. The Contractor carries liability insurance. Obvious defects must be reported in writing without delay, at the latest within 7 days of service delivery.
§ 8 Right of withdrawal for consumers
For contracts concluded off-premises and distance contracts, consumers have a statutory right of withdrawal of 14 days. The Contractor provides details separately in the withdrawal instructions. At the express request of the consumer, the service may begin before the withdrawal period expires.
§ 9 Final provisions
The law of the Federal Republic of Germany applies. Should any provision of these GTC be invalid, the validity of the remaining provisions remains unaffected. The place of performance is, where legally permissible, the Contractor’s registered office in Karlsruhe.
